Terms and Conditions
These terms govern access to M360, a subscription business-management product provided by GEM Group & Co. Ltd.
1. Agreement and legal provider
M360 is owned and operated by GEM Group & Co. Ltd ("GEM Group", "M360", "we", "us" or "our"). By signing a service order, activating an account or using M360, the subscribing institution and its authorised users agree to these Terms, the Privacy Policy and any written service order agreed with GEM Group.
The person accepting these Terms for an institution confirms that they have authority to bind that institution.
2. The M360 service
M360 provides business tools that may include inventory, sales, expenses, invoices, branches, workers, stock batches, transfers, alerts, reports and communications. Features depend on the subscribed package, business type, configuration and third-party availability.
We may improve, secure or modify the service. We will take reasonable steps to avoid materially reducing paid core functionality during an active subscription without notice.
3. Account administration
The institution is responsible for ensuring registration information is accurate and current. Managers control worker access and must grant only the permissions required for each role. Credentials are personal and must not be shared.
Users must promptly report suspected compromise. GEM Group may require password changes, close conflicting sessions or restrict access where necessary to protect the account or platform.
4. Subscription, renewal and payment
M360 subscriptions run for the period stated in the service order, normally one year from activation or renewal. Fees, package limits and payment instructions are those communicated by GEM Group and accepted by the institution.
Where configured, M360 may issue renewal reminders before expiry. At the end of a paid annual term, a five-day grace period may be provided for payment. Access may be suspended after that period until renewal is confirmed. A grace period does not cancel outstanding fees or extend the next subscription term unless GEM Group confirms otherwise in writing.
Fees are non-refundable except where required by law or expressly agreed in writing. The institution is responsible for taxes, charges or levies applicable to its purchase and use of the service.
5. Institution responsibilities
- Enter complete, lawful and accurate information.
- Review prices, stock quantities, expiry dates, reports and financial figures before relying on them.
- Maintain appropriate internal approvals, physical stock counts and segregation of duties.
- Ensure managers and workers are trained and authorised.
- Maintain independent records or exports needed for legal, accounting, tax or continuity purposes.
- Use supported devices, secure networks and current browser software.
6. Pharmacy, retail and professional compliance
The institution is solely responsible for its premises registration, business permits, professional licences, medicine handling, prescription controls, employment obligations and all other sector requirements. M360 does not authorise any person to sell, dispense, prescribe or store medicines.
Automated calculations, alerts and reports assist authorised personnel but do not replace pharmacist judgement, physical verification, professional advice or statutory records.
7. TRA, EFD and fiscal receipts
Unless a specific approved integration is activated and confirmed in writing, an M360 receipt is an operational receipt and is not a TRA fiscal receipt. Institutions required to issue fiscal receipts must use their own TRA-approved EFD or VFD process.
Each institution is responsible for its TIN, VRN, outlet information, tax classification, fiscal credentials, receipt issuance and reconciliation. Users must not present an ordinary M360 document as a TRA-approved fiscal receipt.
8. Data ownership and privacy
As between GEM Group and the institution, the institution retains ownership of the operational data it enters into M360. The institution grants GEM Group the limited right to host, copy, transmit, back up and otherwise process that data to provide, secure and support the service.
Each party must comply with applicable personal-data law. Our handling of personal information is described in the Privacy Policy. Institutions must not upload information they have no lawful authority to process.
9. Acceptable use
Users must not:
- Attempt unauthorised access, probe security, bypass permissions or interfere with another institution's data.
- Upload malware, harmful code, unlawful content or deliberately false records.
- Reverse engineer, copy, resell or commercially exploit M360 except where a written agreement permits it.
- Use the service for fraud, illegal medicine activity, tax evasion, harassment or violation of another person's rights.
- Share one institution's account with an unrelated institution.
- Abuse SMS, file-upload, support or other platform resources.
10. Third-party services
M360 may depend on hosting, internet, SMS, email, payment, fiscal or other third-party services. Their delays, rejection rules and outages may affect M360. GEM Group will take reasonable steps to manage providers but does not control their networks or regulatory approvals.
SMS delivery is not guaranteed. Institutions must keep contact details current and must not rely on SMS as the only control for urgent clinical, safety, stock or payment decisions.
11. Intellectual property
M360, its source code, design, documentation, name, logo and related materials belong to GEM Group & Co. Ltd or its licensors. The subscription grants a limited, non-exclusive, non-transferable and revocable right to use M360 for the institution's internal operations during the paid term.
No ownership in M360 transfers to the institution. Feedback may be used to improve the product without disclosing the institution's confidential information.
12. Availability, maintenance and support
We aim to provide a reliable and secure service, but uninterrupted or error-free operation cannot be guaranteed. Access may be limited for maintenance, security response, third-party failure, legal requirements or events outside reasonable control.
Users must report faults with sufficient detail. Support does not include professional pharmacy, accounting, tax or legal advice.
13. Warranties and liability
M360 is provided with reasonable care and skill for business administration. To the extent permitted by law, GEM Group is not responsible for losses caused by inaccurate user input, unauthorised credentials, failure to follow professional or regulatory duties, unsupported equipment, external providers or decisions made without appropriate verification.
Neither party excludes liability that cannot lawfully be excluded. Subject to that rule and any written service order, GEM Group's aggregate liability arising from the service will not exceed the subscription fees paid by the affected institution for the twelve months preceding the event giving rise to the claim. GEM Group will not be liable for indirect or consequential loss to the extent such limitation is permitted by law.
14. Suspension and termination
GEM Group may suspend access for non-payment, material breach, unlawful use, security risk or where required by a competent authority. Where reasonably possible, we will notify the account owner and allow an opportunity to remedy the issue.
Either party may end the service according to the applicable service order. Before closure, the institution should request or create any available exports it needs. Data will then be handled under the Privacy Policy, legal retention requirements and any written agreement.
15. General terms
These Terms, the Privacy Policy and an applicable written service order form the agreement between GEM Group and the institution. If a service order expressly conflicts with these Terms, the service order controls for that conflict.
If part of these Terms is unenforceable, the remaining provisions continue. Failure to enforce a provision immediately is not a waiver. The institution may not transfer its subscription without written approval. These Terms are governed by the laws of the United Republic of Tanzania, and disputes are subject to the competent courts of Tanzania after reasonable efforts to resolve them directly.
